Clearpath provides business consulting services, including Management Reporting Redesign, Customer Advisory Board Design, and Divestiture Readiness Assessment. These services are available to organizations in Taiwan and the Asia-Pacific region. Specific service scope, deliverables, timelines, and fees are defined in individual engagement letters signed prior to the commencement of work. The information on our website is provided for general informational purposes and does not constitute a binding offer.
4. User Responsibilities
When using our website and services, you agree to provide accurate and complete information in any forms or communications, to use our website only for lawful purposes, not to reproduce, distribute, or modify any content from our website without written permission, not to attempt to gain unauthorized access to any part of our website or systems, and to comply with all applicable laws and regulations of the Republic of China (Taiwan). Any violation of these responsibilities may result in the suspension or termination of your access to our services.
5. Intellectual Property

6. Payment Terms
Service fees are specified in individual engagement letters. All prices are quoted in New Taiwan Dollars (NT$) unless otherwise stated. Payment terms, including schedule and method, are defined in the engagement letter. Late payments may be subject to interest at a rate specified in the engagement agreement. We reserve the right to suspend services if payment obligations are not met within the agreed timeframe.
7. Consulting Service Terms
The scope of each consulting engagement is defined in a signed engagement letter. Changes to scope require written agreement from both parties and may affect the timeline and fee. Clearpath will deliver the services described in the engagement letter with reasonable care and skill. Deliverables are provided in draft form for client review before finalization. Clearpath maintains confidentiality of all client information as specified in the engagement letter and applicable non-disclosure agreements.
8. Disclaimers
Our consulting services are provided on the basis of the information available to us at the time of the engagement. We do not warrant that our recommendations will achieve specific financial outcomes or business results. 9. Limitation of Liability

10. Indemnification
You agree to indemnify and hold harmless Clearpath, its directors, employees, and consultants from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website, your violation of these terms, or your infringement of any third-party rights.
11. Termination
Either party may terminate a consulting engagement as specified in the engagement letter. We reserve the right to suspend or terminate your access to our website if you violate these terms. Upon termination of an engagement, the client shall pay for all services rendered up to the date of termination. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from or related to these terms shall first be addressed through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the matter to mediation or, failing that, to the jurisdiction of the Taipei District Court.
13. General Provisions
These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Clearpath. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right or provision shall not constitute a waiver of that right. We may not assign these terms without your consent; you may not assign them without ours.
